The use of materials contained on this site is subject to our terms and conditions. You are not entitled to use these materials unless you have agreed to accept these conditions.

Conditions

The following conditions apply to your permitted use or exploitation of materials incorporated on this site (or which might be delivered to you in any other form if not directly from this site) including without limitation electronically held graphic representations as well as words and designs in which The Proprietor ABF Limited ('ABF') and/or Silentnight Group Limited (as the case may be, together jointly and also severally referred to in these terms and conditions as “the Proprietor”)have intellectual property rights (the 'Intellectual Property' which expression shall include without limitation copyright, rights in design and trademarks (whether registered or unregistered) and all other manner of intellectual property right and including the right to exploit the same in all parts of the world).

In consideration of the Proprietor granting to you the limited rights to use or exploit the Intellectual Property which follow you agree that;

  1. The Intellectual Property belongs absolutely to the Proprietor, and you will not attempt nor encourage or assist any other person to assert any rights in conflict with such ownership in any part of the world;
  2. You will only use or exploit the Intellectual Property in the United Kingdom and the Republic of Ireland (the 'Territory')for the specified purpose as defined in these conditions. You may use or exploit the Intellectual Property on a web page or other internet presence advertising your business (and otherwise subject to these terms) provided that you will not make any representation that you are able or willing to supply products made by Rest Assured Limited trading as the Pocket Spring Bed Company outside the Territory) and your use is solely for the purpose of promoting the sale of the products of the Proprietor In the Territory (the "specified purpose")
  3. You will faithfully and diligently follow notes and guidance issued from time to time by the Proprietor regarding the methods of reproduction or exploitation of the Intellectual Property and will not distort or otherwise misrepresent any of the Intellectual Property in a manner not approved by the Proprietor. In particular but without limitation you will not take any action or make any representation in your exploitation of the Intellectual Property which in the reasonable opinion of the Proprietor could adversely affect or damage the business and/or the reputation of any of the Silentnight group of companies and/or their respective products including those of the Proprietor.
  4. You will not use or exploit the Intellectual Property for the purpose of promoting your own business separately from the promotion and sale of the products of the Proprietor.
  5. The rights granted to you under these conditions are non-exclusive and personal to you and consequently may not be assigned, charged, pledged or otherwise encumbered by you.
  6. Any goodwill arising from your use or exploitation of the Intellectual Property shall accrue to and be the absolute property of the Proprietor and following termination of this agreement you will not retain any rights to use or exploit the Intellectual Property in any part of the world and you will return any tangible or intangible copies and/or representations of the Intellectual Property back to the Proprietor.
  7. The Proprietor may terminate this agreement at any time and without prior notice or explanation. In such event you will immediately terminate all use or exploitation of the Intellectual Property and return to the Proprietor all tangible or intangible representations of the Intellectual Property (including all electronically held versions) which are either in your possession or under your control and, should the Proprietor require it, confirm to the Proprietor in writing that you have not retained any copies thereof.
  8. These terms do not affect the terms under which you buy goods or products from the Proprietor and/or any other company within the Silentnight group.
  9. These conditions will be construed according to English law and you agree to submit to the jurisdiction of the courts of England and Wales in relation to any dispute or proceedings arising in connection with this agreement or its subject matter.
